How early should we engage a CFO for exit preparation?

Twelve to eighteen months before you expect to begin a marketing process is the ideal window. This gives sufficient time to identify and remediate financial issues, build the data infrastructure, and develop the financial narrative without the pressure of an active process. What is the difference between a quality of earnings analysis and an audit?

An audit is a historical verification that financial statements conform to GAAP. A quality of earnings analysis goes further — it evaluates the economic sustainability and representativeness of reported earnings. QoE examines whether EBITDA is truly recurring, whether revenue recognition is appropriate, whether add-backs are legitimate, and whether the business's financial performance is representative of its ongoing earning power.
